Project Engagement and Payment Terms

RSunBeat Software undertakes projects on a time-and-materials basis unless otherwise agreed upon in writing. Fee estimates are valid for 30 days from the date of issuance and exclude VAT or other applicable taxes. Payment schedules are typically structured weekly or monthly to reserve developer resources.

Dedicated resources, including project managers or team leads, are allocated based on the services requested. The majority of development activities occur at our Indian office, operational Monday through Friday, from 9 AM to 7 PM (IST, GMT +5:30). Resources can also be deployed to our offices in the USA, Italy, Brazil, Canada, UAE, or Australia as required. Public holidays in our Indian office will be communicated in advance, with any time off compensated by overtime upon request.

• Development is typically performed on a sandbox server, excluding digital marketing work like SEO, which occurs on live servers.

• Work outsourced to third parties is not permissible.

Acceptance of Services

Clients are expected to review, test, and approve project components throughout its lifecycle. Delayed feedback may affect project timelines. Upon completion, any test failure due to client-side errors will not constitute non-compliance on RSunBeat Software’s part.

Invoicing and Payment Terms

1. Invoices must be paid in the issued currency.
2. Advance payments are mandatory before project commencement. Non-payment may result in project delays or termination.
3. Applicable taxes, including VAT, will be charged at prevailing rates.
4. Rates:
   • Weekly Rates: Based on a 5-day workweek, 8 hours per day.
   • Daily Rates: For a single 8-hour workday.
   • Bucket Rates: Allocated for specific hours (e.g., 10, 20, or 40 hours) and valid for six months.

Limitation of Liability

RSunBeat Software’s liability is limited to the amount paid for services in the 12 months preceding the cause of action. Exceptions include indirect or consequential losses such as:

• Loss of profits or business opportunities.
• Data corruption or loss.
• Any special or economic damages.

Termination Policy

RSunBeat Software reserves the right to terminate agreements under the following conditions:

• Non-payment after a 7-day notice.
• Serious violations of terms without rectification within 14 days of written notification.
• Insolvency or inability to continue the project due to external factors.

Intellectual Property Rights

1. All intellectual property developed during the agreement will belong to the client, provided all dues are settled.
2. RSunBeat Software will assist in securing trademarks, copyrights, and patents at the client’s expense.
3. Pre-existing intellectual property rights remain with their original owners unless specified in the agreement.

Non-Solicitation Clause
